Terms and Conditions

These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you” or “User”) and Token.com regarding your use of our website, interfaces, tools, and protocols (collectively, the “Platform”). By accessing or using any part of the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. About Token.com
1.1 Token.com is a SocialFi platform that allows users to discover, explore, and interact with digital assets and blockchain-based protocols. We do not provide custody, exchange services, or financial intermediation. Your wallet and private keys remain entirely under your control.
1.1.1 Token.com is not a bank, broker-dealer, financial institution, or financial advisor. We do not have control over or access to user funds, and we do not intermediate or execute transactions on behalf of users.
1.2 The Platform is operated by Token.com Digital Services Ltd, a company incorporated in the British Virgin Islands with its registered address at Craigmuir Chambers, Road Town, Tortola, VG1110, British Virgin Islands, company number 2154269.
2. Eligibility
2.1 You must be at least 18 years old and legally able to enter into contracts to use the Platform. By accessing or using the Platform, you confirm that you meet these requirements. You are solely responsible for complying with applicable laws in your jurisdiction.
2.2 Token.com may restrict or block access to the Platform from certain regions or jurisdictions where such access may be prohibited by applicable laws or sanctions.
2.3. Token.com reserves the right to restrict or terminate access to the Platform for users subject to sanctions or applicable legal prohibitions.
3. Self-Custody and Use of Wallets
3.1. When you begin using the Platform, a non-custodial wallet is generated for you directly on your device. This wallet is fully controlled by you, and Token.com does not store, access, or manage your private keys, recovery phrase, or any wallet credentials.
3.2. All transactions made through the Platform are initiated and authorized by you using your wallet. You are responsible for reviewing each transaction before confirming it. Once submitted to the blockchain, transactions are final and cannot be reversed or altered by Token.com.
3.3. Token.com does not act as a custodian, intermediary, or transaction processor. We do not have the ability to access your assets, interact with smart contracts on your behalf, or recover lost funds.
3.4. You are solely responsible for keeping your wallet credentials and recovery information secure. Loss of access to your wallet may result in permanent loss of your assets.
3.5. Token.com will not be liable for any loss arising from failure to back up wallet credentials, theft of private keys, or user error. We do not have access to your wallet and cannot restore it.
4. Use of the Platform
4.1. You must use the Platform in a lawful, respectful, and responsible manner. Any activity that harms, disrupts, or undermines the intended purpose of the Platform is strictly prohibited. If you engage in any prohibited conduct, Token.com may restrict access to your account.
4.2. You agree not to:
Use the Platform for any unlawful, fraudulent, or malicious purposes;
Upload, deploy, or share any code, bot, script, or tool intended to harm, disrupt, or exploit the Platform’s functionality or security;
Attempt to exploit or abuse any vulnerability, bug, or unintended behavior in the Platform’s logic, interface, or smart contract integrations;
Interact with smart contracts or protocols in ways that damage, manipulate, or bypass intended behavior;
Impersonate others or misrepresent your affiliation with any person or entity;
Manipulate prices, liquidity, voting, or rankings through artificial activity;
Operate multiple accounts to simulate coordination or gain unfair advantage;
Engage in spam, brigading, harassment, or other abusive behavior;
Violate intellectual property, privacy, or other third-party rights;
Interact with sanctioned smart contract destinations or addresses;
Share content that is illegal, harmful, or abusive (see Community Guidelines).
Circumvent geoblocking or access restrictions imposed by Token.com due to regulatory requirements.
4.3. All content you share or interactions you have on the Platform must comply with our Community Guidelines, which promote a safe, inclusive, and respectful environment for everyone.
5. Third-Party Protocols and Risks
5.1. The Platform may interface with third-party protocols and blockchain applications. These are not owned or controlled by Token.com.
5.2. Token.com does not audit or endorse these third-party protocols or tokens. Their rules may change without notice, and transactions may be irreversible or subject to bugs and exploits. You are solely responsible for how you interact with them.
5.3. Token.com makes no representations about the quality, suitability, or legality of any third-party smart contract or service. You should conduct your own due diligence before interacting with any blockchain application.
5.4. Forks, protocol changes, or exploits in third-party contracts may materially impact your assets. Token.com assumes no responsibility for losses arising from such changes.
6. No Financial, Legal, or Tax Advice
6.1. Token.com provides access to Web3 tools and information for general informational purposes only. We do not offer investment advice, financial recommendations, legal counsel, or tax guidance.
6.2. Nothing on the Platform should be interpreted as a recommendation to engage in any activity involving digital assets. You are solely responsible for evaluating your own circumstances and risks.
6.3. You are also responsible for determining whether, and to what extent, any taxes apply to your use of the Platform. Token.com does not calculate, report, or remit taxes on your behalf. You should consult independent advisors if needed.
6.4. You represent and warrant that you will comply with all applicable tax obligations in your jurisdiction and that Token.com bears no responsibility for your reporting or payment obligations.
6.5. Any analysis, news, or content presented on the Platform is for general informational purposes only and does not constitute financial, legal, or investment advice. Such content is not tailored to your personal financial circumstances and should not be considered a financial promotion, solicitation, or recommendation to buy, sell, or hold any digital asset or to engage in any transaction. You are solely responsible for your decisions and should consult a qualified advisor if you require personal guidance.
7. Intellectual Property
7.1. All content available on the Platform, including but not limited to the Token.com brand, designs, interfaces, text, graphics, software code, and other materials, is owned by or licensed to Token.com and protected by applicable intellectual property laws.
7.2. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use, in accordance with these Terms.
7.3. You may not copy, reproduce, distribute, modify, adapt, create derivative works from, reverse engineer, decompile, or attempt to extract the source code of any part of the Platform. You also may not use any trademarks, logos, or branding displayed on the Platform without prior written permission from Token.com.
7.4. If you submit or post content via the Platform (e.g. comments, feedback, public profile details), you retain any rights you have in that content, but you grant Token.com a non-exclusive, worldwide, royalty-free license to use, display, reproduce, or distribute that content as reasonably necessary to operate the Platform.
7.5. The Platform may display or link to third-party content or software. All such third-party intellectual property remains the property of its respective owners. Token.com does not claim ownership of third-party content and makes no warranties regarding its accuracy or use.
7.6. Token.com reserves the right to remove any content posted on the Platform that infringes intellectual property rights or violates applicable laws. Repeat infringers may have access to the Platform revoked.
8. Disclaimers
8.1. The Platform is provided “as is” and “as available.” We do not guarantee the accuracy or reliability of data displayed, the security or uptime of third-party protocols, or that the Platform will be error-free or uninterrupted.
8.2. Your use is at your own risk.
8.3. Token.com disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Platform’s compatibility with your devices or uninterrupted access.
8.4. Token.com does not guarantee that the Platform or any part of it will always be available or uninterrupted. Access may be suspended or restricted due to maintenance, updates, or other operational reasons. We may change or discontinue any feature without notice.
8.5. Engaging with digital assets and blockchain protocols involves significant risks, including but not limited to price volatility, loss of value, technological failures, and regulatory uncertainty. Digital assets are speculative and may lose their entire value. You acknowledge and accept that Token.com is not liable for any financial losses, loss of access, or other damages resulting from your use of or reliance on digital assets or related protocols. You assume full responsibility for your decisions and interactions with the Platform and the underlying technologies.
9. Limitation of Liability
9.1. To the fullest extent permitted by law, Token.com is not liable for any indirect, incidental, or consequential damages, including loss of funds, data, or opportunities, or for decisions made based on content or interactions on the Platform.
9.2. We are not liable for indirect or consequential damages or for loss of funds arising from your use of the Platform, except where prohibited by law.
9.3. To the maximum extent permitted by law, Token.com’s total aggregate liability to you for any claims, losses, or damages arising out of or related to your use of the Platform—regardless of the cause of action or theory of liability—will not exceed one hundred dollars ($100 USD). This limitation reflects the fact that Token.com is a free, non-custodial platform, does not hold user funds or provide financial services, and must allocate its resources toward platform development and security rather than absorbing user risk. By using the Platform, you acknowledge and agree that this limitation is reasonable and forms an essential basis of the bargain between you and Token.com.
10. Indemnification
10.1. You agree to indemnify and hold harmless Token.com, its affiliates, employees, and agents from any claims, liabilities, damages, or losses arising from your use of the Platform, your violation of these Terms, or any infringement of third-party rights.
10.2. This indemnity includes any legal fees and expenses incurred by Token.com in connection with any claim or investigation. Token.com may assume control of the defense of any matter subject to indemnification at your expense.
11. Force Majeure
11.1. Token.com is not liable for any delay or failure caused by circumstances beyond our control, including blockchain network failures, natural disasters, internet outages, or regulatory restrictions.
11.2. Other such events include but are not limited to war, civil unrest, cyberattacks, power failures, or actions by third-party service providers that impact the Platform’s availability.
12. Fees
12.1. Certain features or interactions available through the Platform may be subject to fees.. These may include per-interaction or usage-based fees related to services provided by Token.com. The applicable Fees will be disclosed to you at the time you engage with a feature that incurs a charge.
12.2. If you choose to use third-party services in connection with the Platform - such as fiat onramps, payment cards, or settlement services—those services may be provided by independent, regulated Payment Service Providers. You may be required to accept separate terms to access these services. Token.com is not responsible for your use of such services, and any fees, processing charges, or verification steps associated with them are determined by the relevant third parties.
12.3 Token.com does not charge hidden fees, and we will never withdraw or transfer assets from your wallet.
12.4. From time to time, Token.com may make available promotional incentives, airdrops, discounts, or other offers (“Promotions”) to eligible users. Participation in Promotions is subject to any additional terms made available at the time, and Token.com reserves the right to modify or discontinue any Promotion at its discretion.
13. Changes to the Terms
13.1. We may update these Terms from time to time to reflect new features, changes in law, or shifts in our business model.
13.2. We will notify you of material changes. Continued use of the Platform after changes means you accept the revised Terms.
14. Governing Law
14.1. These Terms are governed by and construed in accordance with the laws of the British Virgin Islands (BVI), without regard to conflict of laws principles.
14.2. Any dispute, controversy, or claim arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the British Virgin Islands. You irrevocably agree to submit to such jurisdiction and waive any objection based on forum non conveniens or similar grounds.
14.3. As an alternative to litigation, Token.com may require or agree to resolve certain disputes through confidential arbitration conducted in English by a single independent arbitrator. The seat of arbitration will be the British Virgin Islands, unless otherwise specified. Either party may request arbitration by submitting written notice.
14.4. Token.com may, at its discretion, seek injunctive or equitable relief in any competent jurisdiction to prevent actual or threatened misuse, fraud, or unauthorized access affecting its services or intellectual property.
14.5. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.6. Users located in countries with statutory consumer protection frameworks may have additional rights under local law. These Terms do not affect any such rights where applicable.
15. Complaints and Contact
15.1. If you have a complaint or concern regarding the Platform, you must contact us at help@token.com with a clear explanation and supporting details. We aim to respond within 48 business hours, though timelines may vary depending on the nature of the issue.
15.2. Token.com may request additional information to verify the origin and content of a complaint and is not obligated to respond to submissions that are abusive, repetitive, unfounded, or submitted in bad faith.
15.3. You acknowledge that Token.com is not liable for any delays in response or dissatisfaction with the resolution of a complaint, except where required under applicable law.
16. Data Protection
16.1. We collect only limited personal data necessary to provide access to and operate the Platform — such as your email address when you register or log in. Any additional data you choose to share with Token.com (e.g., for support or communication purposes) will be handled in accordance with this Privacy Policy. For questions, contact dpo@token.com.
16.2. You acknowledge that your use of decentralized protocols and blockchain technologies may result in certain metadata being stored immutably and publicly. Token.com does not control how this data is recorded or used, nor does Token.com share in any liability arising from the public use of this data.
16.3. Token.com does not sell your data to third parties.
17. Dynamic Wallet Access and Recovery Options
17.1. The Platform integrates with Dynamic Labs, Inc., operating under the trade name "Dynamic," to provide users with a seamless wallet experience. When you sign up or log in using your email, Dynamic creates a non-custodial smart contract wallet for you that is associated with your account. This wallet is deployed on-chain and gives you direct control over your assets. However, certain recovery and authentication operations may rely on Dynamic’s Trusted Execution Environment (TEE), which enables secure signing and account recovery functions without exposing your private key.
17.2. Dynamic’s infrastructure is designed to balance usability and self-custody. While Token.com never holds your private keys or has access to your wallet, Dynamic may participate in wallet-related operations through its secure enclave to enable features such as session management, delegated signing, or account recovery. You must follow Dynamic’s setup and recovery process, including optional linking of recovery methods such as social verifiers or hardware keys, where applicable.
17.3. Token.com does not store or control your private keys or recovery credentials. We do not have the ability to access your wallet, restore access on your behalf, or recover lost assets under any circumstances. You remain solely responsible for safeguarding and managing any recovery methods you enable.
17.4. You acknowledge that misuse or loss of your recovery credentials, or improper setup of recovery options, may result in permanent loss of access to your wallet and assets. Token.com is not liable for any loss arising from your use or failure to use available recovery options.
17.5. These features may rely on third-party infrastructure or service providers. Token.com disclaims responsibility for outages, failures, or data loss caused by such third-party services.
18. Assignment
18.1. Token.com may assign or transfer these Terms, in whole or in part, to another entity in connection with a merger, acquisition, or sale of assets, with or without notice to you. You may not assign your rights or obligations under these Terms without our prior written consent.
19. Entire Agreement; No Waiver
19.1. These Terms constitute the entire agreement between you and Token.com relating to the use of the Platform. Any failure by Token.com to enforce a provision of these Terms is not a waiver of its right to do so later.
